Terms and Conditions

These Terms of Service ("Terms") constitute a legally binding agreement between you and Collector's Club AI, Inc., a Minnesota corporation ("Company," "we," "our," or "us"), governing your access to and use of the Collector's Club AI platform, website at collectorsclubai.com, and all related services (collectively, the "Services").

Please read these Terms carefully before using our Services. By creating an account, accessing the platform, purchasing a subscription, participating in a giveaway, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms apply to all users, including free tier users, paid subscribers, Founding Members, affiliate program participants, marketplace buyers and sellers, and visitors to our website.

1. Eligibility

To use our Services, you must:

•       Be at least 18 years of age

•       Be a resident of the United States (certain features may be limited by jurisdiction)

•       Have the legal capacity to enter into a binding contract

•       Not be prohibited from using the Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify eligibility and to suspend or terminate accounts that do not comply.

2. Account Registration and Security

2.1 Account Creation

To access most features of the platform, you must create an account. You agree to:

•       Provide accurate, current, and complete information during registration

•       Maintain and promptly update your account information

•       Keep your password confidential and not share it with any third party

•       Notify us immediately at [email protected] if you suspect unauthorized access to your account

•       Accept responsibility for all activity that occurs under your account

You may not create more than one account per individual. Accounts created for fraudulent purposes, to circumvent limits, or to game promotional programs will be terminated.

2.2 Account Termination by You

You may close your account at any time by contacting us at [email protected]. Account closure does not entitle you to a refund of any prepaid subscription fees, except as described in Section 5.

3. Platform Description and Features

Collector's Club AI is an AI-powered inventory management, market intelligence, and multi-channel selling platform for sports cards, trading card games (TCG), and collectibles. Features available vary by subscription tier and may include:

•       Card scanning and AI-powered identification using image recognition technology

•       Inventory management and collection tracking

•       Market intelligence reports and pricing data drawn from eBay and other sources

•       Personalized alerts matching market trends to your inventory

•       One-click listing to eBay and other connected sales channels

•       A built-in storefront powered by GoHighLevel ("Flywheel store")

•       An internal Collector's Club AI marketplace

•       CRM and customer communication tools (Pro and higher tiers)

•       An affiliate program with commission tracking

•       Managed service and fulfillment features (where available)

We reserve the right to add, modify, or remove features at any time. We will provide reasonable notice of material changes that negatively impact paid subscribers.

4. Subscription Tiers and Pricing

4.1 Available Tiers

We offer tiered subscription plans with varying features and usage limits, currently including Free (Starter), Collector, Pro, Pro + AI, and Enterprise tiers. Current pricing and feature details are published at collectorsclubai.com/pricing. We reserve the right to modify tier names, features, and pricing with reasonable advance notice to existing subscribers.

4.2 Founding Member Program

Founding Member and Founding Elite memberships are governed by separate Revenue Share Note Agreements executed between the Company and each Founding Member. In the event of any conflict between those agreements and these Terms, the Revenue Share Note Agreement controls with respect to financial terms. These Terms govern all other aspects of platform use.

4.3 Billing and Payments

All subscription fees are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for all applicable taxes.

If a payment fails, we will attempt to retry the charge. After repeated failures, your account may be downgraded to the Free tier or suspended. We will notify you by email before suspending access.

4.4 Overage Charges

If you exceed your monthly plan limits (scans, AI analyses, active listings, etc.), overage fees will be charged at the rates published at collectorsclubai.com/pricing. Overages are billed at the end of each billing cycle. You must maintain a valid payment method on file to use features with overage potential.

4.5 Refund Policy

Monthly subscriptions: We do not offer refunds for partial months. If you cancel, your access continues through the end of the current billing period.

Annual subscriptions: If you cancel an annual subscription within 7 days of initial purchase, we will provide a prorated refund for the unused portion. After 7 days, no refund is issued.

Founding Member investments are governed exclusively by the Revenue Share Note Agreement and are not subject to this refund policy.

We may issue discretionary refunds in cases of billing errors or service outages of significant duration. Contact [email protected] to request a refund review.

5. eBay Integration and Third-Party Platforms

5.1 eBay Account Connection

To use eBay listing features, you must connect your own eBay seller account through eBay's OAuth authentication. By connecting your eBay account, you:

•       Authorize us to access your eBay account on your behalf to create and manage listings

•       Confirm that you are the authorized owner of the connected eBay account

•       Agree to comply with eBay's User Agreement, Seller Policies, and all applicable eBay rules

•       Acknowledge that eBay fees, final value fees, and payment processing are governed entirely by eBay's agreements with you — we have no control over eBay's fee structure

We are a participant in the eBay Partner Network. When users interact with eBay through our platform, affiliate tracking may apply.

5.2 eBay Data Usage

We use eBay's APIs to retrieve sold listing data and market pricing information displayed within the platform. This data is used solely to provide platform features to you. We do not resell or redistribute eBay data outside of delivering our Services. You may not scrape, export, or redistribute eBay data obtained through our platform in ways that violate eBay's API terms.

5.3 Other Third-Party Platforms

Our platform integrates with or connects to other third-party services including GoHighLevel, Stripe, CardHedge, Heritage Auctions, and others. Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, content, or policies of third-party platforms.

5.4 No Guarantee of Third-Party Availability

We cannot guarantee the continued availability of any third-party integration. If a key integration (such as the eBay API) becomes unavailable or its terms change materially, we will notify affected users and work to find an alternative, but we shall not be liable for resulting service limitations.

6. Internal Marketplace

6.1 Marketplace Access

All subscription tiers, including Free, may list items on the internal Collector's Club AI marketplace. Marketplace transaction fees vary by subscription tier as published at collectorsclubai.com/pricing.

6.2 Escrow and Payment Processing

All marketplace payments are processed through Stripe and held in escrow by the Company until safe delivery is confirmed. Release timing:

•       With ShipStation tracking: 3 business days after carrier confirms delivery

•       Without tracking: 30 days after purchase date

•       If a buyer dispute is filed: Funds held pending resolution

Upon release, the marketplace fee and Stripe processing fees (~2.9% + $0.30) are deducted and the net amount is credited to your Collector's Club AI balance. You may withdraw your balance via ACH transfer (minimum $10 per withdrawal).

6.3 Seller Responsibilities

As a marketplace seller, you represent and warrant that:

•       You own or have the legal right to sell all items you list

•       All item descriptions, images, and condition disclosures are accurate and not misleading

•       Items are authentic and not counterfeit

•       You will ship items within the timeframe stated in your listing

•       You will respond to buyer inquiries in a timely manner

Sellers are solely responsible for the accuracy of their listings. We do not authenticate cards or verify grades. Any disputes about card authenticity or condition are between buyer and seller, subject to our dispute resolution process.

6.4 Buyer Responsibilities

As a marketplace buyer, you agree that:

•       All purchases are final once payment is processed, subject to the dispute window

•       You will file any claims within the applicable dispute window (3 days with tracking, 30 days without)

•       You will not file false or fraudulent claims

6.5 Prohibited Listings

The following are prohibited on the Collector's Club AI marketplace:

•       Counterfeit, altered, or misrepresented items

•       Items you do not own or have no right to sell

•       Stolen goods

•       Items prohibited by applicable law

•       Non-collectibles unrelated to the platform's purpose

We reserve the right to remove any listing and suspend any seller account that violates these rules.

6.6 Dispute Resolution

Buyers may file a claim within the applicable dispute window for: item not as described, item damaged in transit, or item never received. We will review submitted evidence and make a final determination. Our decision on marketplace disputes is final. We may issue full refunds, partial refunds, or deny claims based on the evidence presented. Neither buyers nor sellers may charge back Stripe payments for marketplace transactions without first going through our dispute process.

7. Affiliate Program

7.1 Program Participation

The Collector's Club AI affiliate program allows eligible members to earn commissions by referring new customers. Participation is voluntary and subject to the additional Affiliate Program terms published at collectorsclubai.com/affiliate-terms, which are incorporated herein by reference.

7.2 Commission Payments

Commissions are paid as Marketplace Credits (1 credit = $1 USD) deposited to your affiliate wallet. Credits may be used to purchase items in the marketplace, pay for platform services, or withdrawn to a bank account (minimum $50 withdrawal, subject to processing fees as published).

The Company issues IRS Form 1099-MISC to affiliates earning $600 or more in a calendar year. You are responsible for reporting and paying any applicable taxes on commissions earned.

7.3 Prohibited Affiliate Activities

The following are strictly prohibited and will result in immediate termination from the affiliate program and forfeiture of pending commissions:

•       Self-referrals or creation of fake accounts to generate commissions

•       Cookie stuffing or other fraudulent tracking manipulation

•       Running paid ads bidding on our branded keywords ("Collector's Club AI," etc.)

•       Sending unsolicited spam or making false claims about our platform

•       Any activity that violates FTC affiliate disclosure guidelines

8. AI Features and Market Intelligence

8.1 Nature of AI Outputs

Our platform uses artificial intelligence and machine learning to provide card identification, pricing estimates, and market intelligence. You acknowledge and agree that:

•       AI-generated card identifications may contain errors and should be verified before relying on them for high-value transactions

•       Pricing data and market intelligence are provided for informational purposes only and do not constitute financial advice

•       Historical price data and trend analysis do not guarantee future market performance

•       We do not warrant the accuracy, completeness, or timeliness of any AI-generated output

Collector's Club AI is a tool to assist your decision-making. All buying and selling decisions are made at your sole discretion and risk.

8.2 Card Image Processing

When you upload card images for scanning, you grant us a limited license to process those images using AI vision services (including Google Gemini Vision API) for the purpose of providing identification and related features. We do not claim ownership of your card images. Images are stored and retained as described in our Privacy Policy.

9. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

•       Violate any applicable local, state, federal, or international law or regulation

•       Submit false, inaccurate, or misleading information to the platform

•       Attempt to gain unauthorized access to any part of the platform, other user accounts, or our systems

•       Use automated bots, scrapers, or crawlers to access or extract data from the platform without written permission

•       Reverse engineer, decompile, or attempt to derive the source code of our platform

•       Interfere with or disrupt the integrity or performance of the Services

•       Harass, threaten, or harm other users

•       Use the platform to facilitate money laundering, tax evasion, or other illegal financial activity

•       Create multiple accounts to circumvent tier limits or promotional restrictions

•       Resell access to the platform without our written consent

•       Use our platform to compete directly with us by building a substantially similar product using data obtained through our Services

We reserve the right to investigate suspected violations and to suspend or permanently terminate accounts, without refund, for violations of this Acceptable Use Policy.

10. Intellectual Property

10.1 Our Intellectual Property

All content, software, technology, trademarks, logos, and materials on the Collector's Club AI platform — including the Collector's Club AI name, logo, and brand assets — are the property of Collector's Club AI, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.

10.2 Your Content

You retain ownership of content you submit to the platform, including card images, inventory data, and listing descriptions ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely as necessary to provide the Services to you. We do not claim ownership of Your Content and will not use it for purposes beyond delivering our Services without your permission.

10.3 Feedback

If you submit ideas, suggestions, or feedback about our platform, you grant us the right to use that feedback without compensation or attribution to you.

11. SMS and Email Communications

11.1 SMS Consent

By providing your phone number and opting in through any Collector's Club AI form, you consent to receive SMS/text messages from Collector's Club AI, Inc., which may include:

•       Account confirmations and transactional notifications

•       Market intelligence alerts (paid tiers)

•       Platform updates and feature announcements

•       Promotional and marketing messages (if opted in)

Message frequency varies. Standard message and data rates may apply. SMS opt-in is not required as a condition of purchase. To opt out, reply STOP at any time. For help, reply HELP or contact [email protected]. Carriers are not liable for delayed or undelivered messages.

11.2 Email Consent

By creating an account or subscribing to our email list, you consent to receive emails from Collector's Club AI, Inc. You may unsubscribe from marketing emails at any time by clicking the Unsubscribe link. Transactional emails related to your active account cannot be opted out of.

12. Giveaways and Promotions

No purchase is necessary to enter any giveaway or promotion unless explicitly stated. Giveaways are open to U.S. residents 18 years of age or older unless otherwise stated. One entry per person unless explicitly stated otherwise.

Winners are selected and notified via the contact information provided at entry. The Company reserves the right to modify, suspend, or cancel any giveaway at any time. All giveaway decisions by the Company are final. Void where prohibited by law.

Entering a giveaway may result in being added to our email or SMS list if you have consented during entry. You may opt out at any time.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLECTOR'S CLUB AI, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

•       WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

•       WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

•       WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, PRICING DATA, OR MARKET INTELLIGENCE

•       WARRANTIES THAT DEFECTS WILL BE CORRECTED

WE DO NOT WARRANT THE ACCURACY OF CARD IDENTIFICATIONS, PRICING ESTIMATES, OR MARKET INTELLIGENCE PROVIDED THROUGH THE PLATFORM. YOU RELY ON SUCH INFORMATION AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLECTOR'S CLUB AI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

•       INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

•       LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

•       DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED PRICING OR MARKET DATA

•       DAMAGES ARISING FROM THIRD-PARTY PLATFORM OUTAGES OR API CHANGES (INCLUDING EBAY)

•       DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Collector's Club AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

•       Your violation of these Terms

•       Your use of the Services

•       Your listings, content, or transactions on the marketplace

•       Your violation of any third-party rights, including eBay's terms of service

•       Your violation of any applicable law or regulation

16. Termination

16.1 Termination by You

You may stop using the Services and close your account at any time. Cancellation of a paid subscription stops future billing but does not entitle you to a refund of amounts already charged, except as described in Section 4.5.

16.2 Termination by Us

We reserve the right to suspend or terminate your account, with or without notice, for:

•       Violation of these Terms or our Acceptable Use Policy

•       Fraudulent activity or chargebacks

•       Non-payment of subscription fees or overage charges

•       Conduct we reasonably determine is harmful to other users, the platform, or third parties

•       Legal requirements

Upon termination, your right to access the platform immediately ceases. We may retain your data as required by law or our data retention policy. Marketplace balances that are fully vested (not in escrow) will be paid out to you within 30 days of termination, less any amounts owed to us.

16.3 Effect of Termination on Founding Members

Termination of a Founding Member's platform access due to default is governed by the Revenue Share Note Agreement, which controls the financial consequences of such termination.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

17.2 Informal Resolution

Before initiating any formal dispute, you agree to contact us at [email protected] and attempt to resolve the matter informally for at least 30 days.

17.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Minnesota or via videoconference. Each party bears its own arbitration fees unless the arbitrator determines otherwise.

YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including to protect intellectual property rights.

18. Modifications to These Terms

We reserve the right to update these Terms at any time. For material changes, we will:

•       Post the updated Terms on this page with a revised effective date

•       Send email notice to registered account holders at least 14 days before the changes take effect

Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree with a material change, you may cancel your subscription before the effective date.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Founding Member Revenue Share Note Agreement or Affiliate Program terms, constitute the entire agreement between you and Collector's Club AI, Inc. regarding your use of the Services.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

19.5 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Collector's Club AI, Inc.

19.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, pandemic, internet outages, or third-party platform failures.
